簡(jiǎn)介:山東大學(xué)碩士學(xué)位論文董事會(huì)治理與代理成本的實(shí)證分析姓名李慶梅申請(qǐng)學(xué)位級(jí)別碩士專業(yè)技術(shù)經(jīng)濟(jì)及管理指導(dǎo)教師謝永珍20050326山東大學(xué)碩士學(xué)位論文摘要目前國(guó)內(nèi)外發(fā)生了許多侵害股東權(quán)益的事件,如國(guó)外的安然、世通等事件,國(guó)內(nèi)的伊利股份、中航油等事件,均因公司監(jiān)督機(jī)構(gòu)沒有發(fā)揮應(yīng)有的作用,經(jīng)營(yíng)者做出侵害股東權(quán)益的事情這些因經(jīng)營(yíng)者引發(fā)的事件,究其原因是監(jiān)督不力造成的結(jié)果公司監(jiān)督權(quán)的行使機(jī)構(gòu)為董事會(huì),并且在兩權(quán)分離狀態(tài)下形成的委托代理關(guān)系中,董事會(huì)既是委托人也是代理人,體現(xiàn)了董事會(huì)在公司治理中的重要地位由于所有者與經(jīng)營(yíng)者之間存在著信息不對(duì)稱和兩者之間天然的利益差異。就產(chǎn)生了代理成本降低代理成本,保障公司價(jià)值的最大化,應(yīng)該強(qiáng)化董事會(huì)的監(jiān)督職能,因此提升公司治理效率十分重要本人對(duì)國(guó)內(nèi)外學(xué)者研究代理成本的理論文獻(xiàn)進(jìn)行分析,發(fā)現(xiàn)學(xué)者們研究代理成本多從股權(quán)結(jié)構(gòu)和董事會(huì)獨(dú)立性兩方面著手,迄今為止沒有學(xué)者對(duì)董事會(huì)治理與代理成本關(guān)聯(lián)性進(jìn)行系統(tǒng)的研究而且對(duì)于代理成本方面的實(shí)證研究多利用西■方發(fā)達(dá)國(guó)家公司數(shù)據(jù),利用發(fā)展中國(guó)家公司的數(shù)據(jù)進(jìn)行研究的文獻(xiàn)少之又少,尤其是運(yùn)用我國(guó)上市公司的數(shù)據(jù)本文借鑒國(guó)外公司治理的經(jīng)驗(yàn),利用我國(guó)上市公司的數(shù)據(jù)進(jìn)行實(shí)證研究,以董事會(huì)特征如董事會(huì)規(guī)模、獨(dú)立董事比例,持股董事比例、兩職狀態(tài)、審計(jì)委員會(huì)的設(shè)置情況及董事的素質(zhì)為變量,建立董事會(huì)特征與代理成本之間的關(guān)系模型,運(yùn)用SPSS統(tǒng)計(jì)軟件進(jìn)行回歸分析董事會(huì)特征與代理成本之間的相關(guān)性研究過程中,以資產(chǎn)銷售率和費(fèi)用支出率表示的代理成本作為被解釋變量;以董事會(huì)規(guī)模、獨(dú)立董事比例、持股董事比例、兩職狀態(tài)、審計(jì)委員會(huì)設(shè)置情況和董事素質(zhì)六變量為解釋變量;以股權(quán)集中度、信息指數(shù)、流通股比例、公司規(guī)模及資產(chǎn)負(fù)債率為控制變量,建立它們之間的關(guān)系模型結(jié)論顯示,這些模型即使在描述性分析時(shí),存在著一定的規(guī)律性,但它們沒有通過統(tǒng)計(jì)意義上的顯著性,因而董事會(huì)各特征與代理成本之間不存在著顯著相關(guān)性

簡(jiǎn)介:0I摘要摘要隨著公司股份制改革的進(jìn)展,國(guó)有資產(chǎn)更多的表現(xiàn)為國(guó)有股權(quán)的形態(tài),這就要求我們從原來以國(guó)有資產(chǎn)管理為核心的模式轉(zhuǎn)變?yōu)橐試?guó)有股權(quán)管理為核心的模式上來;股權(quán)分置改革完成后國(guó)有股將獲得流通權(quán),市值管理將成為國(guó)有股權(quán)管理的核心,這無疑對(duì)長(zhǎng)期以來以凈資產(chǎn)管理為核心的國(guó)有股權(quán)管理提出了更大的挑戰(zhàn)。對(duì)國(guó)有股權(quán)的管理,由于終極所有者為全國(guó)人民,不能直接行使所有者權(quán)利,長(zhǎng)期以來我們都采用了委托代理的模式,“深滬”模式、“98”模式、“武漢”模式等都是地方對(duì)國(guó)有資產(chǎn)管理的有益探索,經(jīng)過長(zhǎng)期的探索與實(shí)踐,地方初步形成了國(guó)資委國(guó)有資產(chǎn)經(jīng)營(yíng)公司控股企業(yè)的三級(jí)構(gòu)架模式,2007年中央企業(yè)也進(jìn)行了國(guó)有資產(chǎn)經(jīng)營(yíng)公司與董事會(huì)試點(diǎn),但三級(jí)模式在實(shí)踐中存在諸多缺陷,特別是對(duì)于競(jìng)爭(zhēng)領(lǐng)域的國(guó)有股權(quán)的管理,存在著政府干預(yù)色彩濃厚、市場(chǎng)競(jìng)爭(zhēng)不足、激勵(lì)約束不足等缺陷,使國(guó)有股權(quán)不能實(shí)現(xiàn)最大程度上的保值增值。本文將以股權(quán)分置改革為背景,在借鑒國(guó)內(nèi)外經(jīng)驗(yàn)的基礎(chǔ)上探討全流通背景下國(guó)有股權(quán)的有效管理模式這不僅具有很重要的理論價(jià)值,而且具有很強(qiáng)的現(xiàn)實(shí)意義。1、本文把委托代理理論、股權(quán)管理信托理論與國(guó)有股權(quán)的管理緊密結(jié)合,通過指出一般委托代理理論存在的問題延伸到當(dāng)前我國(guó)國(guó)有股權(quán)管理中存在的基本問題,為我們本文探討國(guó)有股權(quán)代理模式和激勵(lì)約束機(jī)制提供了理論基礎(chǔ)。2、本文對(duì)股權(quán)分置改革以及股權(quán)分置改革對(duì)國(guó)有股權(quán)管理的影響進(jìn)行了介紹,奠定了全流通背景進(jìn)行分析的基礎(chǔ),對(duì)于股權(quán)分置改革后股價(jià)與企業(yè)經(jīng)營(yíng)業(yè)績(jī)的相關(guān)性、市值考核的可行性本文使用了我們證券投資學(xué)上的市場(chǎng)有效性的概念來說明,并以前人的卡爾曼濾波研究成果來解釋,具有很強(qiáng)的說服力。3、基于全流通背景下的國(guó)有股權(quán)管理,我國(guó)可借鑒的經(jīng)驗(yàn)有限,而國(guó)外多年、成熟的國(guó)有股權(quán)管理為我們提供了諸多經(jīng)驗(yàn),本文對(duì)國(guó)有股權(quán)的國(guó)外管理模式進(jìn)行了研究,并總結(jié)出對(duì)我國(guó)具有現(xiàn)實(shí)且具有針對(duì)性的經(jīng)驗(yàn),以此為基礎(chǔ)來探討我國(guó)的國(guó)有股權(quán)代理模式,主要借鑒法國(guó)模式,從我國(guó)國(guó)有股權(quán)的經(jīng)營(yíng)性質(zhì)出發(fā),進(jìn)行了分類探討。4、本文旨在進(jìn)行國(guó)有股權(quán)代理模式的研究,但國(guó)有股權(quán)特別的委托代理模式使它與代理人激勵(lì)約束機(jī)制密不可分,本文通過國(guó)有企業(yè)管理中涉及到的各方利益人的博弈分析,指出只有配套的激勵(lì)約束機(jī)制才能夠保障國(guó)有股權(quán)的最大程

簡(jiǎn)介:長(zhǎng)年來,煙草作為利潤(rùn)高,進(jìn)入門檻低的“黃金”行業(yè),一直為國(guó)家所壟斷。而為煙草服務(wù)的貨運(yùn)代理企業(yè),其實(shí)是依附于煙草行業(yè)現(xiàn)行專賣專營(yíng)體制的,物流運(yùn)作模式也基本上是煙草公司的內(nèi)部物流和按行政區(qū)劃形成的地區(qū)物流,基本上只從事煙草產(chǎn)品的物流,所制定的計(jì)劃往往必須遵循煙草公司的發(fā)展發(fā)向,基本上走的是計(jì)劃經(jīng)濟(jì)的模式,與其他的企業(yè)產(chǎn)品之間基本上沒有競(jìng)爭(zhēng),嚴(yán)重制約了企業(yè)的發(fā)展和市場(chǎng)競(jìng)爭(zhēng)力的提高。隨著世界經(jīng)濟(jì)的快速發(fā)展和經(jīng)濟(jì)全球化趨勢(shì)的不斷增強(qiáng),現(xiàn)代物流理論和技術(shù)己在發(fā)達(dá)國(guó)家得到了廣泛的應(yīng)用和發(fā)展,產(chǎn)生了較好的經(jīng)濟(jì)效益和社會(huì)效益,同時(shí),隨著我國(guó)經(jīng)濟(jì)體制改革的進(jìn)一步深入,隨著我國(guó)經(jīng)濟(jì)的迅速發(fā)展和日益融入WTO體系,作為世界重要的經(jīng)濟(jì)發(fā)展大國(guó)和貿(mào)易大國(guó),進(jìn)出口貿(mào)易額將保持高速增長(zhǎng),物流產(chǎn)業(yè)發(fā)展?jié)摿薮?,短短?shù)年間,國(guó)內(nèi)各類物流企業(yè)如雨后春筍般涌現(xiàn),逐漸蠶食著越來越多傳統(tǒng)貨運(yùn)代理企業(yè)的市場(chǎng)份額,傳統(tǒng)貨代企業(yè)也面臨著越來越多的競(jìng)爭(zhēng)壓力,惟有求變和創(chuàng)新才能發(fā)展與生存。作為傳統(tǒng)的煙草貨運(yùn)代理企業(yè),為了開拓新的業(yè)務(wù)領(lǐng)域,形成新的競(jìng)爭(zhēng)優(yōu)勢(shì),維持自身的生存發(fā)展,向現(xiàn)代物流轉(zhuǎn)型是當(dāng)前形勢(shì)下的最佳選擇。本文從傳統(tǒng)煙草貨運(yùn)代理與現(xiàn)代物流的基本概念和相關(guān)知識(shí)出發(fā),在介紹傳統(tǒng)煙草貨運(yùn)代理和現(xiàn)代物流一般知識(shí)的基礎(chǔ)上,分析了兩者之間的聯(lián)系與區(qū)別,指出了傳統(tǒng)煙草貨運(yùn)代理要向現(xiàn)代物流領(lǐng)域轉(zhuǎn)型的必要性,對(duì)傳統(tǒng)煙草貨運(yùn)代理的現(xiàn)狀進(jìn)行了深入分析,并從市場(chǎng)開拓、客戶培育、現(xiàn)代企業(yè)管理、物流信息平臺(tái)、人力資源管理等五個(gè)方面提出了傳統(tǒng)煙草貨運(yùn)代理向現(xiàn)代物流領(lǐng)域轉(zhuǎn)型的對(duì)策。在對(duì)云南云輝貨運(yùn)有限公司進(jìn)行實(shí)踐工作的基礎(chǔ)上,主要針對(duì)市場(chǎng)、客戶和服務(wù)的開發(fā)、公司資源整合、ISO9000質(zhì)量管理體系的建立、物流信息平臺(tái)的建設(shè)、人力資源的管理等方面的內(nèi)容進(jìn)行了研究探索,總結(jié)了實(shí)踐結(jié)果。本文闡述了較全面的傳統(tǒng)煙草貨運(yùn)代理向現(xiàn)代物流轉(zhuǎn)型的理論,注重實(shí)用性與操作性,提供了作者探索性的實(shí)踐案例,以供參考借鑒。
